Conversion aligns the organization’s corporate charter with its long-standing mission to connect doctors with hospitals to improve patient outcomes.
SANTA CLARA, CA, February 22, 2024 – Thalamus announced its conversion to a public benefit corporation (PBC) today, following a vote overwhelmingly supported by its leadership team, shareholders and board of directors. The decision marks the first PBC conversion by a technology company supporting medical education.
Thalamus currently works with over 7,000 medical residency and fellowship training programs at over 700 hospitals throughout the United States, as well as nearly all new doctors. In April 2023, the company announced an historic strategic collaboration with the Association of American Medical Colleges (AAMC) to further its long-standing mission of ensuring the right doctor ends up at the right hospital to treat the right patients.
The PBC conversion, coinciding with the company’s 10th anniversary, further promotes Thalamus’s mission by providing a corporate structure that enables balancing public good alongside shareholder interests. Formally, Thalamus has expanded its certificate of incorporation to include a public benefit purpose, “Of ensuring greater access to affordable, high-quality medical education and training, addressing systemic inequities in the physician workforce, and delivering better healthcare outcomes for patients and society.”
“Our mission has always been at the core of Thalamus’s DNA,” said Jason Reminick, MD, MBA, MS, CEO and Founder. “Our new identity as a PBC not only reflects how we have always operated, but now, allows Thalamus to preserve and protect our mission with greater intentionality as we continue to grow.”
Thalamus currently celebrates a product portfolio of innovative software that streamlines the physician educational and professional journey, while mitigating bias and promoting equity and inclusivity in recruitment processes. This impact is further extended through grant/scholarship programs and partnerships, as well as novel research, including analysis promoting a physician workforce that is proportionately representative of the patient population it serves.
With today’s announcement, Thalamus joins the ranks of other well-known mission-driven PBCs, including Patagonia, Ben & Jerry’s, Kickstarter, and Seventh Generation, Inc. The change was welcomed by Thalamus employees, investors and partners alike.
“We invested in Thalamus because we believed in their ability to improve equity in medical education, so I am thrilled to hear about today’s announcement,” said Freada Kapor Klein, Ph.D., Founding Partner of Kapor Capital. “As companies grow, there is always pressure to cut corners in the name of profits, but a PBC structure will ensure that their mission remains front and center, a message we believe will fully resonate with the academic community Thalamus serves.”
“The AAMC-Thalamus strategic collaboration has been key in driving improvement in the residency application process,” said David J. Skorton, MD, AAMC president and CEO. “With this announcement, our organizations are further mission-aligned to drive innovation in medical education and expand and diversify the broader physician workforce.”
